Oclaro sold to Lumentum for $1.8 billion in cash and stock

Client(s) Oclaro, Inc.

Jones Day advised Oclaro, Inc. in its $1.8 billion acquisition by Lumentum Holdings Inc. Oclaro stockholders received $5.60 per share in cash and 0.0636 of a share of Lumentum common stock for each share of Oclaro common stock they held at the closing of the transaction. The transaction values Oclaro at approximately $9.99 per share, representing an equity value for Oclaro of approximately $1.8 billion.
