Client(s) Investment holding company

Jones Day advised an investment holding company in connection with the acquisition and related financing of a five-star hotel and spa in Málaga, land for expansion and the development of residential units and villas, and an 18-hole championship golf course. The Firm also advised on the structuring of the investment made via a Dutch vehicle acquired by the client; debt restructuring of the vehicles holding the assets; the shareholders agreement and Hotel Management Agreement to be managed by an affiliate of the client; and other agreements and corporate documentation executed within the context of the transaction.
