Linda Hesse advises clients in the areas of capital markets, securities, public M&A, and corporate governance under both U.S. and French law. She acts for issuers with respect to their issuances of debt and equity securities and listings on Euronext, NASDAQ, and the NYSE and on regulatory matters involving the SEC and the French AMF. Linda also advises financial institutions in their role as advisors in offerings of equity, debt, and complex instruments. She is head of the Paris Office Capital Markets Practice.

Notable issuer clients include Orange, for ongoing securities compliance, debt and equity offerings, and M&A; Sanofi on its ongoing SEC compliance and U.S. shelf program, including its $7 billion Yankee bond in connection with its Genzyme acquisition; and EDAP TMS on ongoing securities compliance and U.S. equity offerings. Linda represented Mainstay Medical on its IPO, the first ever Irish company dually listed on the Dublin Stock Exchange and Euronext Paris.

Investment bank clients include BNP Paribas, Crédit Agricole CIB, Danske Bank, Natixis, and Société Générale. Notable underwriter engagements include representing the underwriters on the equity-linked issuances by Neopost and CGG; the rights offerings by Rubis and Valneva; and the NYSE IPO by Sequans, a French fabless semiconductor company.

Linda also advises companies on cross-border public M&A transactions, including representing Orange on the Jazztel acquisition, Essilor International on the FGX and Shamir Opticals acquisitions, Stallergenes on the Greer Laboratories merger, and ENI on the Altergaz acquisition.

Linda is a member of the International Bar Association and active in the Securities Law Committee.
