Jones Day advised two subsidiaries of Du Xiaoman Technology on the acquisition of Vertrauen Financiera, a Mexican Multiple-Purpose Financial Company (Sociedad Financiera de Objeto Múltiple). The representation included the structuring, drafting, and negotiation of the share purchase agreement and related transaction documents, as well as the execution of a comprehensive legal due diligence of the target company. In addition, Jones Day assisted in all regulatory matters related to the transaction, including coordination with the Mexican financial authorities and the preparation and filing of the required notices and submissions in connection with the change of control of the financial company, in compliance with applicable Mexican financial regulations.
