The deal, which has now closed, was structured as a combination of asset sales and share sales, together with the resolution of complex intercompany relationships, reflecting the multi-jurisdictional footprint of the business and the varied legal frameworks across the relevant jurisdictions.

The transaction involved the transfer of IAC’s European and South African operations to Inteva through a hybrid sale structure tailored to the legal and operational requirements of the relevant jurisdictions. As part of the transaction, the parties coordinated closely with European automotive manufacturers to ensure continuity of production and supply, preserving critical operations and minimizing disruption to customer programs.
