Dan regularly structures and negotiates distressed acquisitions and divestitures, section 363 sales, spin-offs, and complex out-of-court workouts. He counsels boards and management teams on fiduciary duty obligations, fraudulent conveyance exposure, illegal dividend claims, and veil-piercing risks — frequently in situations where swift commercial resolution is essential to preserving enterprise value.
Dan regularly partners with private equity sponsors in platform acquisitions of distressed targets, portfolio company restructurings, and controlled dispositions through chapter 11 processes. His experience across the full life cycle of distressed investments — from initial acquisition through operational turnaround or orderly exit — allows him to provide counsel tailored to the unique priorities of financial sponsors.
Dan is a leader in Jones Day's nationally recognized automotive restructuring practice, having guided numerous Tier 1 suppliers through high-stakes commercial negotiations and operational restructurings in both domestic and cross-border contexts. His deep industry knowledge enables clients to identify out-of-court solutions that preserve critical supplier relationships and avoid value-destructive resolutions.
