ENRC subject of £3 billion (US$4.5 billion) offer from Eurasian Resources Group B.V.

Jones Day advised Eurasian Natural Resources Corporation PLC (ENRC) in the £3 billion (US$4.5 billion) takeover offer by Eurasian Resources Group B.V. ENRC is one of the leading diversified natural resources groups with integrated mining, processing, energy, logistical and marketing operations. Eurasian Resources Group B.V. is a newly incorporated company formed by a consortium comprising Alexander Machkevitch, Alijan Ibragimov, Patokh Chodiev, and the State Property and Privatisation Committee of the Ministry of Finance of the Republic of Kazakhstan. Under the terms of the offer, relevant ENRC shareholders received US$2.65 in cash and 0.230 Kazakhmys Consideration Shares for each ENRC Share.
In addition to M&A representation, Jones Day advised ENRC on the competition law aspects of the transaction, obtaining merger control clearance in a number of jurisdictions across the world.
