Head of the Firm's global Energy Practice, Jeff Schlegel has more than 30 years of experience in leading international and domestic M&A and project development transactions for energy industry participants, particularly in oil and gas, liquefied natural gas (LNG), chemicals/petrochemicals, power, renewables, and energy-related infrastructure.

Jeff's M&A experience includes public and private M&A, joint venture, and project development transactions in the upstream, midstream, and downstream oil and gas industry, chemicals/petrochemicals, polyolefins and catalysts, LNG, power, renewables and energy transition matters, and other capital intensive industries. His project development experience in these sectors includes structuring, engineering, procurement, construction, operations, and primary commercial arrangements. Jeff also has represented domestic and multinational companies in a variety of public and private transactions, including inbound and outbound investment, and cross-border transactions in a wide range of industries in Europe, Latin America, Asia, Africa, and North America.

Jeff's recent engagements include more than $475 billion of: energy projects, joint ventures, acquisitions, dispositions, and financings; LNG import and export projects and transactions in North America, Latin America, Europe, the Middle East, and Southeast Asia; refining, logistics, and other downstream transactions in the United States and the Asia/Pacific region; midstream transactions and projects around the world; the development of multiple world-scale facilities; and oil field services transactions in the United States, Africa, the Middle East, and Europe.

Jeff is a regular speaker on energy industry trends and issues, and he has been involved in the drafting of model forms of energy industry contracts. Jeff has been recognized by many premier legal publications, including in the 2024 edition of WWL Thought Leaders: Global Elite.

  • TotalEnergies completes PIPE investment in NextDecade Corporation and investment in $18.5 billion Rio Grande LNG ProjectJones Day represented TotalEnergies in connection with its PIPE investment in NextDecade Corporation and investment in the Rio Grande LNG (RGLNG) Project, a planned natural gas liquefaction project in South Texas.
  • Marathon Petroleum Corp announces joint venture for Martinez Renewable Fuels Project with NesteJones Day advised Marathon Petroleum Corp. in the formation of a joint venture with Neste to convert Marathon’s idled refinery in Martinez, California into a 730 million gallons per year renewable fuels facility.
  • NOVA Infrastructure and Nopetro Energy create new renewables platformJones Day represented NOVA Infrastructure in the partnership with Nopetro Energy to create Nopetro Renewables, a renewable energy platform focused on renewable natural gas ("RNG") and biofuels.
  • Marathon Petroleum acquires 49.9% interest in LF BioenergyJones Day advised Marathon Petroleum Corp. in the $50 million acquisition of a 49.9% interest in LF Bioenergy, an emerging producer of renewable natural gas (RNG) in the United States, from Cresta Fund Management.
  • TotalEnergies' affiliate Cray Valley sells three product lines to Pacific Avenue Capital PartnersJones Day is advising Total Energies on its sale of three product lines to Pacific Avenue Capital Partners (Wingtack®, PolyBD® and Dymalink®) developed by Cray Valley, its resin production and sales affiliate.
  • MassMutual enters into approximate $840 million transaction for purchase and financing of natural gas assets located in Pennsylvania and West VirginiaJones Day represented Massachusetts Mutual Life Insurance Company and MassMutual Ascend Life Insurance Company in connection with (a) the acquisition and financing of asset-backed notes and certificates the proceeds of which were used to acquire proved, developed, and producing ("PDP") natural gas assets in Pennsylvania and West Virginia and (b) the formation of a limited partnership and the subsequent acquisition of six proven-undeveloped natural gas wells located in Pennsylvania and West Virgina.
  • SER Capital Partners acquires Charah Solutions, Inc.Jones Day advised SER Capital Partners in its acquisition of all of the issued and outstanding shares of common stock of Charah Solutions for a consideration of $6.00 per share.

  • Total acquires Toshiba's interest in Freeport LNGJones Day advised Total Gas & Power Asia Private Limited ("Total"), a subsidiary of Total S.A., in (i) its purchase of all of the outstanding shares of Toshiba America LNG Corporation ("TAL") from Toshiba America, Inc.   • Southern Power sold minority interest in solar portfolio to Global Atlantic Financial Group for $1.175 billionJones Day advised Southern Power Company in its $1.175 billion sale of a 33% minority interest in its solar portfolio to Global Atlantic Financial Group Limited.
  • MPLX LP acquires Andeavor Logistics LPJones Day represented Marathon Petroleum Corporation, one of the largest independent refining, marketing and midstream companies in the U.S., in the combination of its two master limited partnerships, MPLX LP (NYSE: MPLX) and Andeavor Logistics LP (NYSE: ANDX) in a unit-for-unit transaction at a blended exchange ratio of 1.07x, representing an equity value of approximately $9 billion and an enterprise value of $14 billion for ANDX.
  • Sempra Energy sells subsidiary to ArcLight Capital PartnersJones Day advised Sempra Energy in the sale of a Sempra subsidiary to ArcLight Capital Partners for $328 million in cash, subject to adjustments for working capital.
