Head of the Firm's global Energy Practice, Jeff Schlegel has more than 25 years of experience in leading international and domestic M&A and project development transactions for energy industry participants, particularly in oil and gas, LNG, chemicals/petrochemicals, renewables, and energy-related infrastructure. His M&A experience includes public and private buy-side, sell-side, and joint venture transactions in the upstream, midstream, and downstream oil and gas industry, chemicals/petrochemicals, LNG, and other capital intensive industries. His project development experience encompasses transactional, structuring, engineering, procurement, construction, operations, and other commercial arrangements. Jeff also has represented domestic and multinational companies in a variety of public and private transactions, including inbound and outbound investment, and cross-border transactions in a wide range of industries in Europe, Latin America, Asia, Africa, and North America.

Jeff's recent engagements include close to $400 billion of: upstream and midstream energy projects, joint ventures, acquisitions, dispositions, and financings, particularly in the U.S. active oil and gas shale plays; LNG import and export projects and transactions in North America, Latin America, Europe, the Middle East, and Southeast Asia; refining, logistics, and other downstream transactions in the U.S. and the Asia/Pacific region; the development of multiple world-scale facilities; and oil field services transactions in the U.S., Africa, the Middle East, and Europe.

Jeff is a member of the Association of International Petroleum Negotiators, a past chair of the International Section of the Institute for Energy Law, a regular speaker at energy conferences, and a past editor of the Texas Transnational Law Quarterly, published by the State Bar of Texas.

  • Total acquires Toshiba's interest in Freeport LNGJones Day advised Total Gas & Power Asia Private Limited ("Total"), a subsidiary of Total S.A., in (i) its purchase of all of the outstanding shares of Toshiba America LNG Corporation ("TAL") from Toshiba America, Inc. ("TAI"), and (ii) its assumption of all LNG related agreements from Toshiba Energy Systems & Solutions Corporation ("TESS").
  • Large oil and gas marketer negotiates long-term NGL sales agreementJones Day represented a large oil and gas marketer in negotiating a long-term NGL sales agreement with deliveries in the Gulf Coast.
  • MPLX LP acquires Andeavor Logistics LPJones Day represented Marathon Petroleum Corporation, one of the largest independent refining, marketing and midstream companies in the U.S., in the combination of its two master limited partnerships, MPLX LP (NYSE: MPLX) and Andeavor Logistics LP (NYSE: ANDX) in a unit-for-unit transaction at a blended exchange ratio of 1.07x, representing an equity value of approximately $9 billion and an enterprise value of $14 billion for ANDX.
  • Sempra Energy sells subsidiary to ArcLight Capital PartnersJones Day advised Sempra Energy in the sale of a Sempra subsidiary to ArcLight Capital Partners for $328 million in cash, subject to adjustments for working capital.
