Ted Powers' practice covers representation of private equity and other sponsors, acquirers, targets, and financial advisors in multibillion dollar global mergers and acquisitions, divestitures, equity and debt investments, and joint ventures. He also advises management and boards of directors on strategic and governance matters. Ted's practice spans multiple industries, including financial services, life sciences, technology, energy, and pharmaceuticals.

Prior to joining Jones Day in 2023, Ted represented Atalaya Capital Management in, among other matters, the formation of a real estate joint venture with Seashine Capital; TeraWatt Infrastructure in connection with investments by Vision Ridge Partners, Keyframe Capital, and Cyrus Capital Partners; Polymer Modifier Partners in the sale of Techmer PM to SK Capital Partners and recapitalization by Gryphon Investors; and Aspen Insurance in its sale to certain investment funds affiliated with Apollo Global Management.

Ted's experience also includes representing a company sourcing medical devices in an investment by an alternative investment manager; the investment arm of a Middle Eastern government-sponsored entity in its minority investment in a provider of battery and power systems and related joint venture; a producer of alcoholic beverages in its sale to the private equity arm of the world's largest brewer; a leading private equity firm in, among other matters, a minority co-investment in and acquisitions and dispositions of financial services companies; a private equity firm in its acquisition of an industrial manufacturer; a leading total wellbeing platform in its acquisition of a SaaS (software as a service) wellbeing platform; and a provider of payment and processing solutions in its comprehensive refinancing and related exchange offer.

Experience

  • SingTel sells Trustwave to The Chertoff GroupJones Day represented Singapore Telecommunications Limited, southeast Asia’s largest telecommunications company, in the sale of Trustwave, a cyber security and managed security services business, to funds affiliated with The Chertoff Group for $205 million. In connection with the sale of Trustwave, Jones Day represented SingTel, as lender, in connection with a unique $195 million senior secured term loan and $40 million unsecured multiple draw term loan facility provided to Trustwave.
