IFS Industries acquires, through affiliate, intellectual property of manufacturer and distributor of reactive adhesive products

Jones Day represented IFS Industries, Inc., a global provider of hot melt adhesives, water-based adhesives, polyurethanes, polymers, and corrugated additives in its acquisition, through an affiliate, of the intellectual property of a manufacturer and distributor of reactive adhesive products, including cyanoacrylate, anaerobic, and epoxy adhesive products. In connection with the transaction, IFS Industries will license, in exchange for a royalty, the acquired IP back to the manufacturer for continued manufacture and distribution of reactive adhesive products for up to two years, following which IFS Industries may exercise an option to purchase the remaining assets and business of the manufacturer.
