Bob Profusek, the Firm's Global Chair of M&A, is one of the world's leading M&A and corporate governance lawyers. He has worked on literally hundreds of transactions and advised directors and managements of many companies on sensitive governance matters, including takeover bids, proxy contests, and shareholder activism.
Representative M&A transactions include mergers such as PotashCorp-Agrium, Continental-United Airlines, Westinghouse-GE Transportation, and Sprint-Nextel; sales of businesses like the Baltimore Orioles, Goodrich, Citgo, Duracell, E&Y Consulting, Folgers, HD Supply, Hunt Petroleum, IMG, Patrón Tequila, Pringles, and Vivent; acquisitions such as American Greetings, The American Lawyer, Jarden, Macy's, Valspar, and 24 Hour Fitness; and numerous transactions for Bally's, Bunge, Huntington Ingals, Nutrien, P&G, and Wabtec. Restructurings in which he played a lead role include Federated Department Stores, General Growth Properties, Harry & David, Hostess Brands, Nextel International, Pacific Gas & Electric, RadioShack, and U.S. Gypsum.
Ranked in "Band 1" by both Chambers Global and Chambers USA, Bob is described as "a very strategic thinker" who "is able to cut through the noise" and provides "a lot of gravitas in negotiations."
Bob has served as a director of five publicly traded companies and currently serves as Lead Independent Director of two. He was included in the Wall Street Journal's inaugural "The 250 Most Influential and Effective Corporate Directors." He has authored many articles on M&A and corporate governance, testified before Congress and the SEC, and appears as a regular guest on Bloomberg and CNBC on these topics.
