ACI Worldwide acquires S1 for $520 million

Client(s) ACI Worldwide, Inc.

Jones Day advised ACI Worldwide, Inc. ("ACI") in connection with its agreement to acquire S1 Corporation ("S1") for approximately $520 million. The agreement followed an unsolicited cash and stock exchange offer by ACI for S1 initiated in July 2011.

In addition to M&A representation, Jones Day provided antitrust, tax and employee compensation advice regarding this transaction.
