Florent Bouyer has significant experience in capital markets, public M&A, and complex corporate and securities law matters. Recognized as a leading practitioner, he advises issuers, shareholders, and financial institutions on a wide range of transactions, including tender offers and more broadly public M&A, initial public offerings (IPOs), equity offerings, block trades, dual listings, equity-linked transactions (including non-dilutive and/or transactions with equity and derivatives components), and public and private investment in public equity (PIPE) transactions on Nasdaq for French issuers.

Florent has been recognized every year for more than 10 years by leading professional directories, including Chambers Global, Chambers Europe, and The Legal 500 EMEA, where he is ranked in the "Hall of Fame." Clients highlight "his ability to handle complex matters," regard him as one of France's leading capital markets lawyers, and describe him as "extremely well-regarded and involved in major deals."

Florent also has in-depth experience in the renewable energy, technology, defense, and pharma industries. He recently advised on complex transactions such as the capital markets aspects of Sanofi's €16 billion split-off of Opella, the public tender offer launched by EQT for Waga Energy, and the convertible bond issuances by Legrand (the largest convertible bond issued in France since September 2020) and Exail Technologies and Rexel, where he acted as counsel to the banking syndicate.

  • Valneva raises €84 million in reserved offeringJones Day represented Valneva SE in connection with the successful completion of an €84 million reserved offering of new Ordinary Shares with warrants attached subscribed by a limited number of investors, including €37 million received upon closing and an aggregate of up to €47 million upon exercise of all warrants.
  • Gorgé S.A. completes sale of Exail Technologies shares in €75.6 million institutional private placementJones Day advised Gorgé S.A., the Gorgé family's holding company and reference shareholder of Exail Technologies S.A., in connection with the successful sale of approximately 3.5% of the share capital of Exail Technologies, via an institutional private placement by way of an accelerated book-building process reserved to institutional investors at a price of €126 per share for a total amount of approximately €75.6 million.
