Natixis transfers existing facility agreement with Italian closed end alternative real estate reserved fund to financial intermediary

Client(s) Natixis S.A., Milan branch

Jones Day assisted Natixis S.A., Milan branch, as assignor, in the negotiation and execution of the agreements for (i) the transfer of an existing facility agreement (and the related contractual rights and obligations) between Natixis S.A., Milan branch, as lender and agent, and an Italian closed end alternative real estate reserved fund, as borrower, to a primary standing financial intermediary pursuant to article 58 of the Italian Banking Act, and (ii) assignment of the claims under such facility agreement to an Italian SPV pursuant to articles 1 and 4 of the Italian Securitisation Act.
