Jones Day advised a private equity firm in the setting up and marketing of a "reserved" alternative investment fund operating in the private equity sector. Assistance includes, inter alia, the drafting of the fund rules and the subscription form, MIFID and marketing documentation, management of relationship with authorities (Bank of Italy and CONSOB), negotiation with institutional prospective investors, review of side letter and related legal opinion.
