Andreas Wuylens has significant experience advising on complex domestic and cross-border M&A transactions. He represents buyers and sellers across a wide range of M&A mandates, including strategic and private equity-driven acquisitions and exits, auction processes, carve-outs, distressed transactions, and asset deals. In addition to his transactional practice, Andreas counsels clients on restructurings, corporate reorganizations, and general corporate governance and corporate law matters.

Recent representative transactions include Syensqo's €135 million carve-out sale of its oil and gas business unit to SNF Group and the sale by the Seyntex shareholders of a majority stake in the company to a consortium led by Ceres Industries Capital.

Andreas is also a member of the Legal & Tax Committee of the Belgium-Japan Association and Chamber of Commerce.

Experience

  • Shareholders of Seyntex sell shares in the company to consortium led by Ceres DefenseJones Day advised Seyntex NV, a Belgian-based manufacturer and provider of high-tech clothing for the military, law enforcement and fire departments, and its family shareholders, on the sale of shares in the company to a consortium led by Ceres Defense, a French investment fund.
  • Syensqo sells oil and gas business to SNF GroupJones Day advised Syensqo SA/NV (Euronext: SYENS) in the €135 million carve-out sale of its oil and gas business to French-based SNF Group.
