Igor Magalhães advises public and private companies in complex business transactions, including domestic and cross-border mergers and acquisitions, joint ventures, private equity investments, and other strategic transactions, with a primary focus on the energy sector.
Since joining Jones Day in 2024, Igor has supported the Houston energy team on buy- and sell-side transactions in the oil and gas and renewables sectors. He also contributes to M&A and corporate governance matters across various industries and jurisdictions, including technology, food, and chemical products in Latin America, Europe, and Asia. In particular, Igor's Brazilian background and fluency in Portuguese provides crucial support to clients with matters involving Brazilian assets and businesses.
During these transactions, Igor drafts and revises a wide range of documents, including board resolutions, NDAs (non-disclosure agreements), LLCAs (limited liability company agreements), sales and purchase agreements, O&M (operations & maintenance) agreements, lease agreements, supply agreements, and transition services agreement, among others. He also reviews and summarizes documents for due diligence, maintains signing and closing checklists, researches state corporate law requirements, and coordinates multijurisdictional and multipractice teams.
Prior to joining the Firm, Igor gained extensive experience in foreign policy analysis and government relations, working with think tanks, state agencies, and legislative offices. He also served as a Brumley Graduate Fellow at the Strauss Center for International Security and Law for the Central America & Mexico Policy Initiative during his graduate studies at the LBJ School of Public Affairs.
Outside of his legal practice, Igor is a black belt in Brazilian Jiu-Jitsu under Master Vinicius "Draculino" Magalhães.
