Metalor Technologies International acquires North American operations of AMI Doduco

Jones Day advised Metalor Technologies International S.A., with headquarters in Switzerland and specialized in the field of precious metals and related advanced technologies in the due diligence and acquisition process of key assets from Amidoduco Mexico, S. de R.L. de C.V., one of the Technitrol INC, companies with activities in the Americas. AMI Doduco a (Technitrol INC company) has been in the electrical contacts industry for over 85 years. The company's product lines include contact materials, semi-finished products, precision stamped contact parts and electromechanical components. Its American production facilities are located in Pennsylvania, Puerto Rico and in Mexico through Amidoduco Mexico, S. de R.L. de C.V. For the acquisition of the Mexican assets, Metalor Technologies International S.A., incorporated two companies in Mexico, Metalor Technologies Operations Mexico, S.A. de C.V. and Metalor Technologies Services Mexico, S.A. de C.V., companies that will carry on with the operation of the acquired assets. The Mexican legal advice had as particular challenge the separation of and identification of legal risks on targeted assets, the distinction of imported goods on temporal and permanent basis, and the process of employment substitution.
