Randi Lesnick is co-chair of Jones Day's Corporate Practice with responsibility for the Firm's global M&A and private equity areas of focus. She also co-leads the Firm's corporate governance team.
Randi has advised on M&A transactions with an aggregate value in excess of $300 billion. Her practice focuses on public and private mergers and acquisitions, spin-offs, carveouts, divestitures, takeovers and takeover preparedness, restructurings, recapitalizations, and securities transactions. Randi also regularly counsels boards of directors and management on governance matters, fiduciary duties, shareholder engagement, and activism defense.
She represents public and private companies in a variety of industries, with emphasis on technology, industrials, financial services, health care and life sciences, industrials, and retail and consumer products. Randi also advises private equity firms in their investments.
Representative transactions include advising Verint Systems in its $2 billion take private by an affiliate of Thoma Bravo; Payward Inc. (d/b/a Kraken) in its $1.5 billion acquisition of NinjaTrader; the Board of Directors of Catalent in the $16.5 billion merger of Catalent with Novo Holdings; Treehouse Foods in its $2.9 billion acquisition by affiliates of InvestIndustrial; Open Lending Corporation in its acquisition by ANV Group Holdings Ltd.; Skyworks Solutions' $3 billion acquisition of Silicon Labs' Infrastructure and Automotive business; Verint's spin-off of its cyber intelligence business; SAP's $8 billion acquisition of Qualtrics; Patrón Spirits' sale to Bacardi for $5 billion enterprise value; and Reynolds American's $49 billion acquisition by British American Tobacco.
Randi was named a "Dealmaker of the Year" by American Lawyer and has been recognized as a Client Service All-Star, MVP, and Super All-Star by BTI Consulting.
