Henrik Born advises domestic and international clients on private equity transactions, mergers and acquisitions, minority investments, secondaries, and general corporate governance matters. His practice has involved public and private transactions in a variety of industries, including industrials, defense, consumer staples and discretionary, health care, and technology.
Recent representative matters include advising Verizon Media on multiple carve-out transactions, including its sale of Huffpost to Buzzfeed and the sale of its Telematics business to Geotab; Groupe Solmax in its $518 million acquisition of TenCate Geosynthetics; and ACI Worldwide in its $750 million acquisition of the Speedpay U.S. domestic bill pay business from Western Union.
Prior to rejoining Jones Day in 2024, Henrik represented Thoma Bravo in its $2.8 billion take private of Ping Identity and in its sale of Pathwire to Sinch AB for a total enterprise value of approximately $1.9 billion and TA Associates in the $700 million sale of engineering software provider Power Line Systems to Bentley Systems. Other private equity sponsors Henrik has represented include Morgan Stanley Capital Partners, J.F. Lehman, JMI Equity, The Riverside Company, Aldrich Capital Partners, Marlin Equity Partners, and EagleTree Capital.
Henrik's recent representations in the secondaries space include advising Adams Street Partners in connection with various general partner (GP)-led transactions, such as its role as lead investor in a $240 million continuation vehicles managed by Broadtree Partners. Henrik has also advised Pantheon Ventures, MV Credit, and Agility Equity Partners in connection with GP-led and limited partner (LP)-led secondaries transactions.
Henrik previously worked in the private funds group of an investment bank and at the leading economics consulting firm in New York.
