Howard Liebman a 40 ans d’expérience, dont trente-huit en Europe où il dirige la pratique Droit Fiscal du bureau de Bruxelles de Jones Day. Il intervient principalement en fiscalité internationale et en structuration des entreprises, coordonnant aussi bien les aspects fiscaux que corporate des fusions et acquisitions, joint-ventures et restructurations, et a développé une expérience importante dans la négociation et la mise en œuvre de transactions pan-européennes.

Il a conseillé de nombreuses sociétés sur des projets de dimension européenne en fiscalité et en structuration d’entreprises, ainsi que des groupes européens sur des questions similaires aux Etats-Unis ou en Amérique Latine. Récemment, Howard Liebman a représenté Platinum Equity, tout d’abord dans l'acquisition de MACtac Europe auprès de Bemis Corporation puis dans la cession de leurs activités opérationnelles européennes et asiatiques à Avery Dennison. Il a également représenté l’acheteur de plus de 60.000 hectares de terres agricoles en Russie, ainsi que NextiraOne Europe lors de la cession à Dimension Data Group de 16 de ses filiales réparties dans 13 pays en Europe. Howard Liebman a également conseillé Platinum Equity dans son acquisition pan-européenne (impliquant les Pays-Bas, la Suède, le Royaume-Uni et la Roumanie) du groupe Norba Geesink cédé par Oshkosh Corporation et sur sa cession ultérieure à un fonds de placement privé allemand, ainsi que dans le cadre de l'acquisition de l’entreprise de fabrication 3B-Fibreglass (Belgique, Norvège, Tunisie, Luxembourg) cédée par Owens Corning et sa cession ultérieure au groupe indien Binani.

Howard Liebman est aussi le président de l’American Chamber of Commerce en Belgique, qui représente l'industrie américaine en Belgique et dans l'Union Européenne. Il est co-auteur du BNA Portfolio (n° 7451) sur le thème "Business Operations in the European Union - Regulatory" (2017) et a présidé et/ou est intervenu à de nombreuses conférences sur le droit des sociétés européennes et la fiscalité internationale des affaires.

  • Diebold Nixdorf successfully restructures over $2.7 billion in funded debt and completes the first-ever dual proceeding under the U.S. bankruptcy code and Dutch restructuring law in 71 daysIn the first-ever cross border restructuring involving dual main proceedings under chapter 11 of the U.S. Bankruptcy Code and a scheme of arrangement (the "Dutch Scheme") under the Dutch Act on Confirmation of Extrajudicial Plans (Wet Homologatie Onderhands Akkoord ("WHOA")), and the first-ever chapter 15 recognition of Dutch Scheme proceedings and a sanctioned WHOA reorganization plan (the "WHOA Plan"), Jones Day represented Diebold Nixdorf, Incorporated ("Diebold") and certain of its U.S. and Canadian subsidiaries (the "Debtors") in connection with (i) the prepackaged chapter 11 cases of In re Diebold Holding Company, LLC, et al., (Case No. 23-90602-DRJ) commenced on June 1, 2023, in the United States Bankruptcy Court for the Southern District of Texas (the "Bankruptcy Court"); (ii) the Dutch Scheme, commenced on June 1, 2023 by Diebold Nixdorf Dutch Holding B.V. (the "Dutch Issuer") in the District Court of Amsterdam (the "Dutch Court"), and (iii) the chapter 15 proceedings before the Bankruptcy Court commenced by the foreign representative of the Dutch Issuer, wherein the Bankruptcy Court recognized the Dutch Scheme proceeding as a foreign main proceeding and recognized and extended comity to the WHOA Plan that was sanctioned by the Dutch Court.
