HSBC France acts as presenting bank in €360 million exchange offer by CGG on bonds convertible into and/or exchangeable for new or existing shares

Jones Day represented HSBC France, acting as the presenting bank, in connection with the €360 million (US$395.5 million) public exchange offer launched by CGG, a fully integrated Geoscience company, for its bonds convertible into and/or exchangeable for new or existing CGG shares, due January 1st, 2019 ("2019 OCEANE").

As part of the offer, CGG offered to holders of its 2019 OCEANEs newly issued OCEANE due January 1, 2020. The offer was approved by the AMF on May 28, 2015 and closed on June 19, 2015.
