Exelis successfully transfers wireless and experimental licenses to Harris during acquisition

Jones Day represented international defense contractor Exelis, Inc. in its merger with Harris Corporation. The project required the assistance of our telecommunications practice to ensure that FCC approval was secured for the transfer of control to Harris of the numerous wireless and experimental licenses that are held and used by Exelis. The project involved a number of complications in part because the FCC files for some of the licensed systems operated by Exelis required significant updating. Further, Exelis continued to submit applications to the FCC for new and modified licenses right up to immediately prior to the closing date, necessitating securing several grants of Special Temporary Authority to continue to operate the necessary wireless and experimental systems to support various Exelis projects while the transfer of control was consummated.
