Jones Day advised a large global retailer in its acquisition of Grabble, an Australian start-up company incorporated as a vehicle for the sale of hand-held devices point of sale receipt generation technology, including software and hardware. The selling shareholders comprised the developers of the technology and two start-up investment funds from the U.S. and Australia. The transaction also involved the issue of shares to the U.S. fund and the negotiation of on-going employment and earn-out arrangements between the large global retailer and the technology developers.
