Jones Day represented Nationwide Mutual Insurance Company in challenges to its merger with Harleysville Mutual and its simultaneous acquisition of a partially publicly owned subsidiary of Harleysville Mutual. Allegations were brought by shareholders and policyholders of Harleysville Mutual entities asserting that Nationwide aided and abetted violations of fiduciary duty by directors of both Harleysville Mutual and the partially owned subsidiary.
