Michaels Stores defeats plaintiff's application for injunction to stop merger with Bain Capital Partners

Client(s) Michaels Stores, Inc.

Jones Day represented Michaels Stores, Inc. and certain of its former directors in connection with a now-completed merger with entities affiliated with Bain Capital Partners, LLC and the Blackstone Group. The plaintiffs alleged that the merger was procedurally and financially unfair to the Company's former shareholders. We successfully defeated plaintiff's application for injunction to stop the shareholder vote.
