Jones Day counseled Primus Capital Fund in its sale of a portion of its minority ownership interest in Passport Holding Corporation, a holding company for Passport Health Communications, Inc., and the rolling over of the remainder of its equity into a newly formed holding company and investment of additional money into the newly formed holding company as part of a recapitalization.
