Adrien Descoutures focuses his practice on private equity transactions, including mid-cap to large-cap leveraged buyouts. He also regularly represents large corporates in complex transactions involving private equity sponsors (carve-outs, joint ventures, and issues with shareholders' agreements). Adrien has experience in private M&A transactions as well, including domestic and cross-border divestitures, acquisitions and strategic alliances, contracts, and corporate law matters.

Prior to joining Jones Day in 2020, Adrien practiced with international law firms in Paris and London, where he advised many companies and investment funds, including Blackstone on the acquisitions of the Joa group (a French casino group) and the Stow group (a leading supplier of storage solutions); Cinven on the acquisition of the INSEEC U. group (a French multidisciplinary higher education platform); Warburg Pincus on the acquisition of the Accelya Group from Chequers; and Apax Partners on the acquisition of Cabovisao, a major Portuguese cable operator, from Altice Portugal.

He also advised HSBC on the transfer of various European branches surrounding the implementation of Brexit; members of the ad hoc group of noteholders on the acquisition of the IKKS group by a vehicle owned by the noteholders and the restructuring of the capital and debt structure of the IKKS group via an out-of-court restructuring and an accelerated financial safeguard; and Carlyle and CVC on the acquisition by Neptune of the oil and gas extraction and production business of Engie.

Experience

  • Eurobio Scientific acquires GenDxJones Day advised Eurobio Scientific SA in the acquisition and financing of the Dutch company Genome Diagnostics BV (GenDx) from its founder and its shareholders for €135 million (net of adjusted cash).
  • Macquarie agrees to acquire Suez Recycling and Recovery UK Group for approximately €2.4 billionJones Day is advising Macquarie Asset Management in the execution of a put option agreement to acquire 100% of the shares of Suez Recycling and Recovery UK Group, for approximately €2.4 billion.
  • Armor sells stake in ARMOR-IIMAK to AstorgJones Day advised EN5, controlling shareholders of the Armor group, on the management buyout of Armor Iimak group and the simultaneous 40% investment by Astorg Midcap in the Armor Iimak group.
  • Deezer merges with and into I2PO S.A.Jones Day is advising Deezer S.A. in the context of the proposed SPAC transaction whereby Deezer S.A. would be merged with and into I2PO S.A., a French SPAC listed on the professional segment of the regulated market of Euronext Paris and the related PIPE financing.
  • Tikehau Investment Management finances acquisition of SQLI by Synsion BidCoJones Day advised Tikehau Investment Management, as arranger, and direct lending funds managed or advised by Tikehau Investment Management, as lenders, in connection with (i) the financing of the acquisition by way of tender offer of SQLI, a French-listed company, by Synsion BidCo, a SPV owned and controlled by DBAY Advisors, (ii) the partial refinancing of the existing indebtedness of SQLI, and (iii) the financing of future acquisitions and capital expenditures.
  • ARMOR USA acquires industrial segment of International Imaging Materials, Inc.Jones Day represented Armor SAS and ARMOR USA, Inc., a French-based company that specializes in the industrial formulation of inks and the coating of thin layers onto thin films, in the acquisition and financing of International Imaging Materials, Inc. ("IIMAK"), a global developer and manufacturer of value-added consumable solutions for industrial applications.
  • Solmax acquires TenCate GeosyntheticsJones Day advised Groupe Solmax Inc. (Solmax), the global leader in the production of high-quality polyethylene geomembranes for industrial and environmental applications, and its shareholders (including institutional investors Caisse de dépot et placement du Québec and Fonds de Solidarité FTQ), in connection with Solmax’s acquisition of TenCate Geosynthetics Holding B.V., a global provider of geosynthetics and industrial fabrics, from Dutch conglomerate Koninklijke Ten Cate (Royal Ten Cate, the Netherlands), and advised on the related senior secured financing to support the acquisition.
  • ForTalents acquires minority stake in Groupe Petit ForestierJones Day represented ForTalents in connection with its minority stake investment in Groupe Petit Forestier, the European leader in refrigerated assets rentals.
  • Solvay sells barium, strontium and sodium percarbonate businesses to Latour CapitalJones Day advised Solvay S.A., a publicly listed chemical company based in Brussels, Belgium, on the combined sale of its technical-grade barium and strontium business in Germany, Spain and Mexico, and its sodium percarbonate business in Germany to Latour Capital.
