(together, the "Lenders"), as well as Banco Bilbao Vizcaya Argentaria, S.A., in its capacities as sole bookrunner, mandated lead arranger, coordinator and agent, in connection with the amendment and restatement of the syndicated financing agreement granted to UVE, S.A. (UVESA), originally entered into on 21 March 2025 by incorporating a new tranche (Tranche D) to finance, among other purposes, the acquisition by UVE, S.A. of 100% of the share capital of Payan Hermanos, S.A. and additional capital expenditure of the Group, as well as the ratification and extension of the existing security package.
