Founder of Shelly Group sells shares in the €1.2 billion voluntary public tender offer by Schneider Electric SE

Jones Day is advising Dimitar Dimitrov, the founder, main shareholder and co-CEO of Shelly Group, in the €1.2 billion voluntary public tender offer for all outstanding shares in Shelly Group by SE 2026 A SAS, a wholly-owned subsidiary of Schneider Electric SE.

Schneider Electric intends to offer €70 in cash for each Shelly Group share.

The transaction is subject to regulatory approvals and a minimum acceptance threshold of 95%. The closing is expected by Q1 2027.
