Scott Nelson advises clients on mergers and acquisitions, divestitures, restructurings, corporate governance, and related matters. His practice has involved transactions in various industries globally, including software and technology services, professional employer organizations (PEOs), consumer goods, consumer electronics, aviation, industrials, payments processing, and life sciences.
Scott's representations in the PEO industry account for more than $700 million in aggregate transaction value, including multiple strategic acquisitions for Engage PEO and the 2025 sale of a majority stake in DecisionHR to Coalesce Capital.
Scott's recent software and technology representations include Napster Corporation's acquisition of Touchcast, Inc. ($500 million); Ansys's acquisitions of Analytical Graphics ($700 million), DYNAmore, Phoenix Integration, and Diakopto; ACI Worldwide's acquisition of Western Union's Speedpay payments processing business ($750 million); and Xact Data Discovery's sale to Aquiline Capital Partners LLC.
Scott also has led several transactions for The Procter & Gamble Company, Signature Aviation, and Bose Corporation. Other recent transactions include DecisionHR's sale of a majority stake to Coalesce Capital Partners; Sonepar SAS's sale of the Vallen North America industrial MRO (maintenance, repair, and operations) and supply business to Nautic Partners and its acquisition of Billows Electric Supply; Misonix's $518 million acquisition by Bioventus (NDAQ: BVS); and Diamond S Shipping's $1.65 billion merger with the tanker business of Capital Product Partners.
Prior to his legal career, Scott marketed technology solutions at Apple.
Scott has worked pro bono for the American Association of People with Disabilities, Her Justice, and the Legal Aid Society.
