Bonnie Smith practices in the area of general corporate and securities law, focusing on capital markets, particularly with respect to U.S. securities law matters. She advises companies and financial institutions on a wide array of cross-border capital markets transactions, including equity and debt offerings, initial public offerings (IPOs), follow-on offerings, at-the-market (ATM) programs, U.S. shelf takedowns, spin-offs, public and private placements, and dual listings. Bonnie also counsels public companies on day-to-day corporate governance issues and compliance with reporting obligations under U.S. and French laws, including on environmental, social, and governance (ESG) and equity incentive and compensation plans.
Among the notable issuer clients Bonnie has worked with are Sanofi on its ongoing SEC compliance and its U.S. shelf program and related notes offerings; Orange on a 144A notes offering and its delisting from the NYSE and deregistration with the SEC; Innate Pharma on its ongoing SEC compliance and ATM program; and EDAP TMS on ongoing securities compliance and equity offerings. Bonnie also has advised issuers on various capital markets transactions, including representing Cellectis, Carmat, and the Kingdom of Belgium, and on the listing of EUROAPI (Sanofi's spin-off).
Prior to joining Jones Day, Bonnie practiced at an international law firm in Paris.
