Benne Brouwer has extensive experience in fund formation and the formation of investment structures, including private equity, venture capital, real estate, and infrastructure strategies. In addition, Benne advises institutional investors contemplating investments in Dutch and international private funds, co-investments, and managed accounts and assists with negotiating the commercial terms and side letters involved in such transactions.

Benne also has experience advising on financial regulatory matters associated with the investment structures set up by asset managers, including AIFMD (Alternative Investment Fund Managers Directive), ESG (environmental, social, and governance), and other financial regulatory laws.

Prior to joining Jones Day in 2023, Benne worked at a large Dutch law firm. During this time he served two secondments with investment organizations, where he gained valuable experience in the fund industry/operations from the perspective of asset managers as well as from the perspective of investors.
