Jones Day assisted a payment systems company in responding to a shareholder demand asserting that incentive compensation paid to senior managers violated the terms of shareholder-approved compensation plans. Following a presentation and extensive discussions with the shareholder's counsel demonstrating that the compensation paid did not violate the terms of the compensation plans, the shareholder's counsel dropped the demand without any litigation being filed or any settlement being paid.
