HeidelbergCement and Lehigh Hanson acquire Italcementi for $4.1 billion

Jones Day secured antitrust approval from the U.S. Federal Trade Commission for the $4.1 billion acquisition by HeidelbergCement AG and its U.S. subsidiary Lehigh Hanson, Inc. of Italcementi S.p.A. and its subsidiary Essroc. After a second request investigation, the Jones Day team successfully negotiated a consent decree that allowed Heidelberg and Lehigh Hanson to complete the Italcementi acquisition with a post-closing divestiture package centered on a single cement plant. The combination establishes Heidelberg as one of the world’s largest producers of building materials, including cement, aggregates, and ready-mix concrete.
