Special Committee of Board of Logility advised in becoming wholly owned subsidiary of American Software

Jones Day advised the Special Committee of the Board of Directors of Logility, Inc. in connection with a tender offer and acquisition by American Software, Inc. On June 29, 2009, American Software, Inc. consummated a tender offer pursuant to which it purchased up to approximately 1,134,570 shares of common stock of Logility, Inc. not already owned by American Software at a price of $7.02 per share (an aggregate of $7.96 million), and promptly thereafter consummated a short-form merger between Logility and a subsidiary of American Software, resulting in Logility becoming a wholly owned subsidiary of American Software.
