KeyBanc Capital Markets defeats shareholder claims of aiding and abetting

Client(s) KeyCorp

Jones Day defended KeyBanc Capital Markets against claims by a shareholder/director of a company that KBCM advised in a merger transaction. The shareholder/director claimed that KBCM aided and abetted breaches of fiduciary duties by the rest of the board of directors, in connection with the board's approval of a private sale of the company. The Delaware Court of Chancery granted our motion to dismiss the claims against KBCM.
