International manufacturer successfully pursues breach of contract claims arising from purchase of manufacturing company

Jones Day represented the plaintiff, a large international manufacturer, in a breach of contract and fraud lawsuit arising out of the plaintiff's purchase of a West Coast manufacturing company. The plaintiff claimed that the seller of the manufacturing company had falsified material information about the company, its products and its finances. The defendant asserted multiple counterclaims, including claims for the breach of the duty of good faith and fair dealing and for breach of an earn-out provision.

Jones Day obtained summary judgment in our client's favor on its breach of contract claim and obtained dismissal of numerous other counterclaims levied by the defendant. Jones Day also successfully staved off multiple Daubert attacks on its experts, while simultaneously excluding all of the defendant's damages testimony.
