Kailey Paglia-Warren's practice is at the intersection of venture capital and emerging growth company law. She advises founders, investors, and high-growth businesses across the full corporate life cycle, from incorporation and seed financings through to exit, acting on U.S. and UK transactions.
Prior to joining Jones Day in 2026, Kailey advised a market-leading robotics company through several rounds of financing, including advice on long-term capital strategy and IPO (initial public offering) considerations; advised a FemTech business through four distressed insider rounds that included managing complex shareholder dynamics throughout; acted as outside counsel to a UK AgTech company from formation through to Series B planning; advised a climate-focused venture fund across its portfolio company investments under U.S. and UK documentation; counseled a life sciences spin out on a raise from two major philanthropic funds, coordinating corporate, charity, employment, banking, and IP workstreams; and acted for a UK fashion tech company on its U.S. flip, ESOP (employee stock ownership plan) design, and subsequent seed round led by the corporate venture arm of a major U.S. media company.
In addition, Kailey maintains an active pro bono practice that spans multiple disciplines. She has led pro bono matters for The Veterans Consortium Pro Bono Program, Reprieve, Lawyers for Good Government, National Advocates for Pregnant Women, and Kids in Need of Defense.
