Matt Jones counsels public and private borrowers, private equity sponsors, and lenders in complex financing transactions, with an emphasis on transactions involving energy, infrastructure, and other capital intensive industries. He advises clients on the financing aspects of domestic and cross-border mergers, acquisitions, and other business combinations, including numerous transactions involving valuations in excess of $1 billion.

Matt represents clients in relation to structuring, negotiating, and documenting all types of syndicated lending transactions; acquisition financings; asset-based lending facilities; reserve-based lending transactions; revolving loans; and term loans. In addition, Matt has significant experience in connection with transactions in the debt capital markets.

Some of Matt's recent representations prior to joining Jones Day in 2024 include a public waste disposal business in a $3 billion revolving credit facility; a public pipeline company in a multibillion dollar credit agreement and extensions of maturity; a pipeline joint venture in matters related to a $400 million credit facility; a chemicals company in a $100 million equipment sale-leaseback; a private equity sponsor in a $450 million secured term loan for a telecommunications infrastructure business; and a hospitality and gaming company in various financing matters.

Prior to joining Jones Day, Matt was also involved in several recently announced business combination transactions including Equitrans Midstream Corporation in connection with a combination transaction with EQT Corporation; Enerplus Corporation in a combination with Chord Energy Corporation; and Occidental with its purchase of CrownRock.

Matt is a member of the Energy Bar Association and the Texas General Counsel Forum.
