Ariele Cohen is a highly accomplished, client-focused investment management lawyer with more than 20 years of experience advising investment advisers on the structuring, formation, and marketing of private investment funds, as well as representing institutional investors in connection with their investments in private funds. Her experience spans a broad range of private fund structures, including open-end, closed-end, hybrid, and fund-of-funds vehicles, investing in a broad variety of asset classes.
Ariele advises investment advisers on all aspects of private fund formation and structuring, including the preparation and negotiation of private offering memoranda, limited partnership agreements, and side letters. She also represents institutional investors in negotiating their investments in a wide range of private funds, advising on investment terms and negotiating fund documentation to address their legal, regulatory, and business objectives.
Prior to joining Jones Day in 2026, Ariele also served as a vice president at a global insurance company, where she served as lead counsel advising on investments in private funds.
