Annie Brooking represents private equity sponsors, public and private companies, and other clients in mergers and acquisitions, corporate governance, and related transactional matters. Her practice focuses on private equity clients across a range of industries.
Annie advises private equity clients throughout the investment life cycle, including on platform acquisitions, asset and equity add-on acquisitions, mergers, and platform sales. Her experience includes both buy-side and sell-side transactions, as well as related corporate and governance matters. Annie previously spent time on secondment with Audax Private Equity, where she advised on middle-market strategic acquisitions, debt restructurings, and fund formation matters.
Annie also advises public companies on strategic acquisitions and corporate governance matters, including governance considerations arising from the integration of acquired businesses. She works with clients and management teams to navigate the legal and operational issues associated with significant transactions and growth initiatives.
Before beginning her legal career, Annie worked in brand partnerships at CNN.
Annie maintains an active pro bono practice, including providing full-service corporate governance counseling to nonprofit organizations, successfully representing clients seeking name-change orders, and counseling immigrant detainees held at detention centers. She is also a member of the Lavender Bar Association.
