Jon Frankel is a nationally recognized finance lawyer who has served as lead counsel on many of the largest and most complex multinational leveraged finance transactions in history. He represents investment banks and corporations in connection with syndicated loans, debt and equity securities offerings, and capital solutions and liability management exercises. Jon also represents commercial and regional banks, private credit lenders, asset-based lenders, and creditor groups. In addition, he provides general corporate and securities law advice and mergers and acquisitions representation.

Prior to joining Jones Day, Jon's representative transactions include: advising the lead arrangers of $2 billion of senior secured credit facilities to finance the acquisition and build out of a major multinational media company whose portfolio includes Masterchef, American Idol, and Deal or No Deal; representing the initial purchasers of $3 billion of second lien secured notes to finance Apollo's $15 billion going-private transaction involving ADT (the home security company); advising the initial purchasers in simultaneous senior, senior subordinated, and subordinated bond offerings totaling $1.6 billion to finance the $6 billion acquisition of Michaels Stores (the nation's largest arts and crafts retailer) by Bain and Blackstone; representing the lead arrangers of a $4 billion senior secured credit facility to finance the $8 billion acquisition of Avaya (the enterprise communications company) by TPG and Silver Lake; and advising the lead arrangers of a $6 billion multijurisdictional credit facility to finance the $10 billion acquisition of VNU (the owner of AC Nielsen and Billboard magazine) by a sponsor consortium, including Blackstone, Carlyle, and KKR.
