Ian Fraser practices antitrust and competition law and focuses on government investigations, merger reviews, antitrust litigation, and corporate counseling. A former law clerk to Judge Douglas Ginsburg of the U.S. Court of Appeals for the D.C. Circuit, Ian has represented clients in industries such as finance, defense, technology, consumer products, oil and gas, and manufacturing before the U.S. Department of Justice and the Federal Trade Commission.
Ian regularly advises clients on the antitrust aspects of domestic and cross-border mergers and acquisitions, including pre-transaction risk assessment, HSR (Hart-Scott-Rodino) Act filings, and advocacy before enforcement agencies. His recent experience includes representing TriMas Corporation in the $1.45 billion sale of its aerospace segment; The Timken Company in its acquisition of Bijur Delimon International; TopBuild Corp. in its $1 billion acquisition of Specialty Products & Insulation; and Eastman Chemical Company in the $490 million sale of its Texas City operations to INEOS Acetyls. These matters span complex industrial and manufacturing sectors and involve strategic antitrust counseling in connection with high-value transactions.
In addition to his transactional practice, Ian represents clients in antitrust investigations and litigation involving alleged anticompetitive conduct. He also advises clients on a wide range of competition issues, including competitor collaborations, information sharing, distribution practices, and compliance with U.S. antitrust laws. He has experience advising private equity sponsors and their portfolio companies on antitrust risks associated with acquisitions, divestitures, and investment strategies.
Ian currently serves as an adjunct professor at George Mason University's Antonin Scalia Law School, where he administers the online offering of the school's Antitrust II course.
