Bernard Zapata-Kim's practice focuses on complex executive compensation and employee benefits matters, including in the context of acquisitions, dispositions, mergers, and executive transitions.
Bernard regularly advises publicly traded and privately held companies in connection with corporate transactions and design and implementation of executive compensation plans and programs, including employment, severance, change in control and retention agreements, incentive and bonus plans, equity compensation programs, dividend recapitalizations, and deferred compensation arrangements. He also frequently advises clients regarding the administration and compliance of employee benefit plans, programs, and arrangements with the Internal Revenue Code and the Employee Retirement Income Security Act (ERISA).
Bernard has a particular depth of experience counseling private equity funds with acquisitions and dispositions, as well as the implementation of employee benefit plans, executive employment arrangements, and equity compensation programs.
