Preston Smith is a federal tax lawyer who counsels clients in the areas of corporate tax, partnership tax, domestic and cross-border M&A, financings, and securities offerings. Preston regularly advises private fund sponsors and limited partners on matters from formation to investment structuring to exit and liquidation. He also works with large multinational corporations in connection with their global tax planning. Additionally, Preston works with the Firm's litigation lawyers on the tax consequences of judgments and settlements.
Preston's experience ranges from representing public and private companies in billion dollar taxable and tax-free transactions, to advising private equity funds focused on the middle-market and debt investments, and to providing tax advice on offerings of complex financial instruments. Preston also regularly advises some of the largest sovereign wealth funds in the world on their inbound investments. And his work includes counseling tax-exempt entities to secure and maintain tax-exempt status.
Prior to attending law school, Preston worked as an advisory associate in the Cyber, Risk, & Regulatory group at PricewaterhouseCoopers in Tampa, Florida.
