Shelby McClain practices corporate law, with a focus on capital markets transactions, corporate governance matters, periodic reporting responsibilities, and stock exchange rules and regulations.
Shelby represents public and private companies and financial institutions in a wide range of corporate transactions, including initial public offerings, SPAC (special purpose acquisition company) and deSPAC transactions, public and private offerings of debt and equity securities, tender offers, exchange offers, spin-offs, and similar transactions. Shelby also advises on the U.S. securities law aspects of merger and acquisition transactions, including reverse mergers, and in-court and out-of-court restructurings.
Shelby has represented domestic and international clients in a variety of industries, including agricultural inputs and products, biotechnology, consumer products, electric utilities, energy (including renewable energy), food products, manufacturing, pharmaceuticals, real estate, software and services, and transportation.
Notable clients that Shelby has represented include Xcel Energy, Polaris, Ecolab, Nutrien, Verint Systems, Wabtec, Diebold Nixdorf, Lamb Weston, Georgia-Pacific, Skyworks Solutions, Anteris Technologies, and Ansys. She also has represented several major U.S. financial institutions, including BofA Securities, Citigroup, J.P. Morgan Securities, and Goldman Sachs & Co.
