Jeff Kapp practices in the area of health care transactions and has substantial experience in mergers and acquisitions and various types of joint ventures and affiliations. He represents hospitals and health systems in strategic transactions, such as hospital mergers and acquisitions, joint ventures and physician contracting matters, including co-management arrangements, physician recruitment, employment and medical director agreements, and hospital-based physician agreements. He also has represented these clients regarding significant business functions, such as the negotiation of strategic supply management, equipment leasing, and consulting agreements.

Jeff counsels health systems, hospitals, emergency medical service providers, academic medical centers, and medical device companies regarding compliance matters, including Medicare fraud and abuse and Stark Law compliance, tax-exempt organization rules, HIPAA's privacy and security regulations, security breach notification laws, and other general health law issues.

His technology practice consists of negotiating and drafting outsourcing agreements, software licenses, services and maintenance agreements, and agreements for the acquisition of information technology systems.

Jeff's representative matters include counseling Cleveland Clinic Foundation in affiliation transactions; counseling ProMedica Health System in physician contracting matters, including practice acquisition and employment of physicians in various specialties; counseling a national medical transportation provider regarding compliance issues; and counseling several multi-hospital health systems regarding significant physician practice acquisitions.

Jeff is a member of American Health Lawyers Association and Cleveland Metropolitan Bar Association. He serves as vice president of the Society of Ohio Healthcare Attorneys and previously chaired the Columbus Bar Association Health Law Committee. He serves on the board of Vocational Guidance Services, a Cleveland-based nonprofit organization.
