Florent Bouyer dispose d’une expérience significative en marchés de capitaux, en fusions-acquisitions publiques ainsi qu’en droit des sociétés et droit boursier complexes. Reconnu comme l’un des praticiens de référence dans ces domaines, il conseille des émetteurs, des actionnaires et des institutions financières dans le cadre d’un large éventail d’opérations, notamment OPA/OPE et fusions-acquisitions, introductions en bourse, augmentations de capital (avec DPS ou en placement privé), transactions de blocs, doubles cotations, opérations equity-linked (y compris non-dilutives et/ou avec des composantes actions et dérivés), ainsi que des transactions publiques et des PIPE sur le Nasdaq pour des émetteurs français. Il a également développé une expertise reconnue dans les secteurs des énergies renouvelables, des technologies, de la défense et de la pharmacie.

Florent Bouyer est distingué chaque année depuis plus de dix ans par les principaux guides professionnels, notamment Chambers Global, Chambers Europe et The Legal 500 EMEA, où il est classé « Hall of Fame ». Il est récemment intervenu sur des transactions complexes telles que les aspects marchés de capitaux de la scission d’Opella par Sanofi, d’un montant de 16 milliards d’euros, l’offre publique d’achat lancée par EQT sur Waga Energy, ainsi que les émissions d’obligations convertibles de Legrand, soit la plus importante émission obligataire convertible réalisée en France depuis septembre 2020, d’Exail Technologies et de Rexel, dans le cadre de laquelle il est intervenu en qualité de conseil du syndicat bancaire.

  • Banking syndicate completes €400 million offering of bonds convertible into new shares and/or exchangeable for existing shares (OCEANEs) by RexelJones Day advised the banking syndicate in connection with an offering of €400 million aggregate principal amount of 1.00% Senior Unsecured Bonds due 2031 convertible into new shares and/or exchangeable for existing shares (OCEANEs), by way of an offering to qualified investors only, by Rexel (Euronext Paris: RXL), a worldwide expert in the multichannel professional distribution of products and services for the energy world.
  • Valneva raises €84 million in reserved offeringJones Day represented Valneva SE in connection with the successful completion of an €84 million reserved offering of new Ordinary Shares with warrants attached subscribed by a limited number of investors, including €37 million received upon closing and an aggregate of up to €47 million upon exercise of all warrants.
  • Gorgé S.A. completes sale of Exail Technologies shares in €75.6 million institutional private placementJones Day advised Gorgé S.A., the Gorgé family's holding company and reference shareholder of Exail Technologies S.A., in connection with the successful sale of approximately 3.5% of the share capital of Exail Technologies, via an institutional private placement by way of an accelerated book-building process reserved to institutional investors at a price of €126 per share for a total amount of approximately €75.6 million.
  • American Industrial Partners enters into exclusive agreement for Alba to acquire Aluminium DunkerqueJones Day is advising American Industrial Partners (AIP) in the sale of Aluminium Dunkerque Industries France (ADIF), the owner of Europe’s largest primary aluminium smelter, to Aluminium Bahrain (Alba).
  • BNP Paribas issues €400 million Non-Dilutive Cash-Settled Zero Coupon Convertible Bonds linked to BNP Paribas sharesJones Day represented BNP Paribas, as issuer and sole bookrunner, in connection with the offering by BNP Paribas of €400 million Non-Dilutive Cash-Settled Zero Coupon Convertible Bonds due 2031 linked to BNP Paribas shares.
  • Exail Technologies issues €256 million of additional undated bonds convertible into new shares and/or exchangeable for existing sharesJones Day advised Exail Technologies SA on its supplementary issuance of undated bonds convertible into new shares and/or exchangeable for existing shares (ODIRNANE), the first European primary offering this year in the Defense sector.
  • Waga Energy sells majority stake to EQT followed by tender offerJones Day represented Waga Energy S.A.
