Antonio Franck focuses his practice on corporate, banking, restructuring, and securities law as it relates to foreign commercial bank lending in Mexico, foreign and Mexican underwriters, and private sector companies. He structures and negotiates national and international financial transactions, including mergers and acquisitions, corporate and financial restructurings, and strategic associations.
Antonio has more than 40 years of experience working with clients in the U.S. and around the world. Prior to joining Jones Day, he handled a wide variety of legal matters, including the structuring and financing of electric energy projects such as Samalayuca and Mérida III and gas pipeline transactions such as the Tarahumara Pipeline; participated in the incorporation of Banco Azteca, Banco Multiva, and Bancoppel among other credit institutions and sofoles; served as a member of an ICC arbitral tribunal in an ICC proceeding between a Mexican company and an American company regarding a joint venture dispute; and acted as Mexican counsel for Mexico's Bank Advisory Group during the Mexican debt restructuring from 1982 to 1992.
He currently teaches M&A and corporate governance at the Universidad Panamericana. Antonio has taught commercial law and legal ethics at Universidad Iberoamericana as well as at Escuela Libre de Derecho. He is currently on the board of directors of several companies, including FibraUno, Aleatica, Farmacias del Ahorro, Fibra NAICM, Fibra Infraex, and others in Mexico. Antonio also has served on the boards of Grupo Aeroportuario del Pacifico, Mexicana de Cananea, Sears Roebuck de México, Grupo Coppel, and Grupo Financiero IXE.
The following represents experience acquired prior to joining Jones Day.
Represented Grupo Fermaca, a market leader in the development and operation of energy infrastructure in Mexico, in connection with the acquisition by Partners Group, a global private equity firm headquartered in Zug, Switzerland, of a majority stake in the company from its parent, New York private equity firm Ospraie.
Represented Bank of America in its 2003 acquisition of a 24.9 percent equity stake in Grupo Financiero Santander Serfin and in 2010 in the sale of the same percentage to Grupo Financiero Santander for US$2.5 billion.
Participated in the placement on the Mexican Stock Market of bonds for Coppel and Banco Compartamos.
Participated in the international IPO for Banco Compartamos and represented Banco Compartamos in the $1.5 billion IPO in Mexico under 144A.
Represented the Saba Masri family in the public tender for the purchase of Consorcio Aeromexico and for Satelites Mexicanos (SATMEX).
Participated in the acquisition of Consultoria Internacional Casa de Cambios and represented Waldo's Mexico in the acquisition of certain assets of Grupo Dorians.
Represented the Leonardo Castañon family, majority shareholders of Farmacias del Ahorro, in corporate and stock ownership restructuring.
Represented laboratory Landsteiner Scientific in its investment in Sinca Inbursa.
Successfully assisted AT&T International in an exchange offer launched by America Movil to acquire Telmex Internacional.
Represented Grupo Alsavision in its $250 million public tender to purchase up to 100 percent of Aeromexico.
Participated in the restructuring under a prepackaged arrangement of Grupo Iusacel.
Participated in the incorporation of Banco Azteca and Banco Multiva and the acquisitions of Grupo Financiero IXE and Grupo Multiva.
